These terms govern your use of this website at properblocks.co.uk and the leaseholder portal at portal.properblocks.co.uk. By using either, you agree to these terms.

Who we are

Big Brain Company Ltd (company number 11209610), registered in England and Wales, trading as Proper Blocks. In these terms, "we" and "us" mean Big Brain Company Ltd. We operate the portal as a service to right-to-manage and resident-management companies; the current customer block is Dennis House.

Dennis House RTM Company Ltd (company number 11620031, registered office Dennis House, Roman Road, London E3 5ER) is the right-to-manage company for Dennis House. It uses the portal to discharge its statutory duties as block manager but is not the operator of the portal.

Who the portal is for

The portal is made available to leaseholders, tenants, directors, managing agents and contractors associated with the customer block. Accounts are created by invitation from a director of the block, or by submitting an access request that the directors review before granting access. We may suspend or remove access at any time if it is misused or no longer needed.

Accuracy of information

We take reasonable care to keep information on the portal accurate and up to date, including service-charge statements, documents, and compliance records. Balances, statements and notices shown on the portal are for information. Where they conflict with a formal demand served under the terms of your lease, the formal demand takes precedence.

Documents and records

Documents uploaded to the portal (leases, insurance certificates, compliance reports, accounts) are provided for the benefit of leaseholders and other authorised users of the customer block. They may be subject to copyright held by the block's directors or by third parties. You may view, download and print them for your own records connected with your lease or unit. You must not republish them elsewhere without the directors' consent or, where applicable, the consent of the copyright holder.

Deleting documents

Only the block's directors can delete documents from the portal. When a document is deleted, it is removed from the portal immediately and stops appearing for any user. We then hold the file in a retention area for 30 days. During that window the directors can restore the document on request, by leaseholder, tenant, managing agent or contractor, provided the request is reasonable and the original visibility settings still apply. After 30 days the file is permanently deleted from our storage and cannot be recovered.

The audit log entry recording the deletion is kept indefinitely and is not affected by the 30-day window. This is so we can prove what was removed, by whom, and when, if a dispute arises.

Payments

Any payment made through the portal is processed by a third-party payment provider on behalf of the customer block. Card numbers are not stored. Payments are applied to your unit's service-charge account on receipt of cleared funds.

Availability

We aim to keep the portal available but do not guarantee uninterrupted access. We may take the portal offline for maintenance, or to deal with a security incident, without notice. Scheduled maintenance is announced on the portal noticeboard where practical.

Liability

To the extent permitted by law, our liability to you for loss or damage arising from your use of the portal is limited to the value of any fees paid by you for portal access in the twelve months preceding the claim, or £100, whichever is greater. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited or excluded under English law.

Claims relating to the substantive management of your block (service-charge demands, repairs, compliance, lease enforcement) are matters for your block's right-to-manage or resident-management company, not Big Brain Company Ltd as the portal operator.

Changes to these terms

We may update these terms from time to time. The "last updated" date above shows when the terms were last changed. Significant changes will be announced on the portal noticeboard.

Governing law

These terms, and any dispute or claim arising out of them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute.
